Terms of Use

This is a translation of the Japanese original. If there is any difference between the two, the Japanese version prevails.

Article 1 (Scope and Agreement)

  1. These Terms set out the conditions for using the smartphone and tablet application "Neko Kingyo" (Japanese title: "猫金魚：ねこきんぎょを育てる癒しの水槽") (the "App") provided by Miao Zhihao (trade name: Alpax) ("we," "us").
  2. Anyone who uses the App ("you") agrees to these Terms in full. By using the App, you are deemed to have agreed to these Terms.
  3. These Terms apply, as standard terms under Article 548-2 of the Civil Code of Japan, to all relationships between you and us concerning the use of the App.
  4. In addition to these Terms, Apple Inc.'s Licensed Application End User License Agreement (https://www.apple.com/legal/internet-services/itunes/dev/stdeula/) applies to your use of the App. That agreement prevails in matters concerning Apple Inc.'s rights and responsibilities; these Terms prevail in all other matters.
  5. Information is handled under our separate Privacy Policy, which forms part of these Terms.

Article 2 (The App and Changes)

  1. The App lets you watch "neko kingyo" (imaginary creatures that are part cat, part goldfish) in a tank and raise them by feeding them, cleaning the tank and so on. The App is free to download, and many features are free.
  2. The App includes game features such as Gold Scales (Article 4), the gacha, the collection book and weekly rankings. Some benefits are available through Neko Kingyo Premium (Article 5) or one-time purchases (Article 6).
  3. We may change the App's content at our discretion, including adding, changing or replacing kinds of neko kingyo, food, scenery and music, changing the number of Gold Scales you can receive per day, changing the gacha, and changing the look and features.
  4. We may suspend all or part of the App temporarily without prior notice in any of the following cases:
    1. When maintaining, inspecting or updating servers or other equipment
    2. When provision becomes difficult due to fire, power outage, natural disaster, network failure or other force majeure
    3. When services of outside providers such as Apple Inc., Google LLC, RevenueCat, Inc. or Supabase, Inc. have outages or specification changes
    4. In any other case where we consider suspension necessary
  5. We may end the App after giving notice in the App or on the page that carries these Terms at least 30 days in advance.

Article 3 (Game Records and Accounts)

  1. When you first launch the App, it automatically creates an anonymous account that requires no name or email address, and stores records such as your neko kingyo, Gold Scales, care status, collection book and ranking points (the "Game Records") on our server.
  2. From "Account" in the App's Settings, you can link your anonymous account to Sign in with Apple. Once linked, you can return to your Game Records after changing devices or reinstalling by signing in with the same Apple ID.
  3. If you stay on an anonymous account and delete the App, change devices, or lose your sign-in information, you may not be able to return to your Game Records. We are not responsible for any resulting loss.
  4. If you switch to an account linked to a different Apple ID, or choose "Start over," the Game Records of your previous anonymous account are not transferred to the new account.
  5. You may delete your account and Game Records under Article 14.

Article 4 (Gold Scales and the Gacha)

  1. Gold Scales can be received free of charge in the App, for example by picking up scales that sink to the bottom of the tank, by choosing to watch an ad (Article 7), as a celebration when a neko kingyo becomes an adult, as a weekly ranking reward, and as a Neko Kingyo Premium benefit. Gold Scales cannot be purchased directly for money.
  2. Gold Scales can be used only within the App, to exchange for things we specify, such as gacha draws, food, treats and scenery.
  3. The gacha lets you exchange Gold Scales for one neko kingyo egg. The kind of neko kingyo that hatches is determined by the probabilities shown on the gacha screen. An epic neko kingyo is guaranteed after a number of draws that we set.
  4. Gold Scales have no monetary value. Gold Scales, neko kingyo received from the gacha and items obtained by exchange are only rights to use them within the App and are not property rights. You may not convert them into money, transfer, lend or pledge them to other users, or trade them outside the App.
  5. We may change the number of Gold Scales you can receive per day, the number of Gold Scales needed for exchanges, the gacha's probabilities and content, and the range of exchangeable items. When we change gacha probabilities, we update the display on the gacha screen before applying them.
  6. If a malfunction of the App or server, a communication error or the like causes an incorrect number of Gold Scales, neko kingyo or items to be recorded, we may correct the record.
  7. When we end the App, or when you delete your account under Article 14, your Gold Scales, neko kingyo and exchanged items can no longer be used. Because Gold Scales are received free of charge, we provide no compensation for them.

Article 5 (Neko Kingyo Premium)

  1. Neko Kingyo Premium ("Premium") is an auto-renewing App Store subscription. While subscribed, you can use the benefits shown on the purchase screen, such as monthly Gold Scales, faster growth of your neko kingyo, and receiving the ad rewards every day without ads.
  2. Premium is offered as a monthly plan and an annual plan. The price and period are shown on the App Store screen before purchase.
  3. Premium renews automatically for the same period unless you cancel at least 24 hours before the end of the current period. Payment is charged to your Apple account.
  4. You can cancel (turn off auto-renewal) at any time from Settings > [your name] > Subscriptions on your device. After cancelling, you can use Premium until the end of the current period. There are no prorated refunds for the remainder of a period when you cancel partway through. Deleting the App does not cancel your subscription.
  5. Billing and refunds are handled by Apple Inc., and Apple Inc. decides whether to issue a refund under its own rules. We do not issue refunds.
  6. After changing devices or reinstalling, you can use Premium again by tapping "Restore Purchases" with the same Apple account you used to purchase it. Purchase status is checked against your account under Article 3.
  7. After Premium ends, the Gold Scales and neko kingyo you have received remain. Premium benefits are no longer available.
  8. Premium benefits may change under Article 2, paragraph 3. We will give advance notice under Article 11 of any important change that is disadvantageous to you.

Article 6 (One-Time Purchases)

  1. We sell the following one-time (non-consumable) products on the App Store. The price is shown on the App Store screen before purchase.
    1. Remove Ads: the ad entry point is no longer shown, and you automatically receive the ad rewards in Gold Scales every day
    2. Limited breed "Yozora" (Night Sky): one "Yozora" neko kingyo, which does not appear in the gacha, is delivered to your Rest Room
  2. Each one-time product can be purchased only once per Apple account. After changing devices or reinstalling, you can use it again by tapping "Restore Purchases" with the same Apple account you used to purchase it.
  3. Billing and refunds are handled as described in Article 5, paragraph 5.
  4. If you let the delivered "Yozora" neko kingyo go (release it in the App), it cannot be delivered again.

Article 7 (Advertising)

  1. The App shows video ads (rewarded ads) only when you choose to watch one to receive Gold Scales. The App never shows ads automatically.
  2. When you watch an ad to the end, you receive the number of Gold Scales we set. There is a daily limit on how many times you can receive them by watching ads. Ads may not be available depending on ad inventory and network conditions.
  3. While you are subscribed to Premium, and after you purchase "Remove Ads," the ad entry point is not shown and you receive the ad rewards automatically.
  4. Ad content is determined by the ad network (Google LLC). We are not responsible for ad content or for products and services you reach from ads.

Article 8 (Nicknames and Rankings)

  1. In the App's weekly and all-time rankings, your nickname, rank, points, and the kind and level of your most grown neko kingyo are shown to other users.
  2. You may not use personal information of others, hurtful language, obscene language, advertising or other inappropriate content in your nickname or in the names of your neko kingyo.
  3. If we determine that a nickname or name violates the preceding paragraph, we may change it or stop showing it in the rankings without prior notice.
  4. The weekly ranking closes every Monday at 4:00 a.m. Japan time, and we give rewards in Gold Scales as we specify. Points earned by improper means may be excluded from rankings and rewards.

Article 9 (Prohibited Conduct)

When using the App, you must not:

  1. Modify, analyze (including decompiling, disassembling or reverse engineering) or alter the App
  2. Obtain Gold Scales, neko kingyo, items or ranking points by improper means (including modified apps, automated operation, or repeatedly recreating accounts)
  3. Access our servers without authorization, place excessive load on them, or interfere with the operation of the App
  4. Copy, distribute, sell or publicly transmit the App's images, sounds or other materials beyond the scope of using the App (however, you may share videos of your tank recorded in the App and images of your ranking as an individual on social media and the like)
  5. Use inquiries to send false content, personal information of others, defamation, advertising or large volumes of messages
  6. Infringe the rights or interests of us or any third party
  7. Violate laws or public order and morals, or engage in conduct connected with crime
  8. Engage in any other conduct similar to the above that interferes with the sound operation of the App

Article 10 (Measures Against Violations)

  1. If we determine that you have violated, or may violate, Article 9 or any other provision of these Terms, we may take the following measures without prior notice:
    1. Cancel or correct records of Gold Scales, neko kingyo, items or ranking points
    2. Suspend your appearance in rankings, receipt of Gold Scales, exchanges or other features
    3. Any other measures we consider necessary
  2. We are not obliged to explain the reasons for such measures.
  3. If you cause us damage by violating these Terms, you shall compensate us for that damage (including reasonable attorney's fees).

Article 11 (Changes to These Terms)

  1. We may change these Terms without your individual consent, in accordance with Article 548-4 of the Civil Code of Japan, when:
    1. The change is in the general interest of users; or
    2. The change does not conflict with the purpose of these Terms and is reasonable in light of the need for the change, the appropriateness of the new content and other circumstances.
  2. When we change these Terms, we will announce the new content and its effective date, before that date, on the page that carries these Terms or in the App. Changes disadvantageous to you will be announced at least 7 days before they take effect.
  3. If you use the App after the effective date, you are deemed to have agreed to the changed Terms.

Article 12 (Intellectual Property)

  1. Rights to the programs, images, sounds, text and other materials in the App belong to us or to third parties with legitimate rights. These Terms grant you a non-exclusive, non-transferable, non-sublicensable right to use the App privately in accordance with these Terms; they do not transfer any of these rights to you.
  2. The music in the App consists of works by third parties, used under the conditions set by each creator. Creators and licenses are listed under "Music Credits" at the end of these Terms. In the App, songs are shown under names we have given them.
  3. We may freely use, free of charge, anything you send us as an inquiry (including suggestions and ideas for improvement) to improve the App.

Article 13 (Disclaimers and Limitation of Liability)

  1. We do not guarantee that the App will suit your particular purpose, have the functions, accuracy or usefulness you expect, always work properly, be free of defects or interruptions, or work on every device.
  2. The App is intended for relaxation and enjoyment. It is not intended to, and does not guarantee, any medical, therapeutic, sleep-improving or other health effect.
  3. Due to network failures, device malfunctions, server maintenance or outages, or outages of outside providers' services, you may temporarily be unable to care for your neko kingyo, receive or exchange Gold Scales, have purchases confirmed, or watch ads.
  4. We are not liable for damage you suffer from causes not attributable to us (including force majeure, your device or network environment, outages of outside providers' services, and your own actions).
  5. If you suffer damage from our default or tort due to our slight negligence (negligence other than intent or gross negligence), our liability is limited to ordinary damage actually incurred (excluding damage arising from special circumstances, lost profits and damage from loss of data), up to the amount you paid for the App in the one month before the damage occurred.
  6. The limitation in the preceding paragraph does not apply to damage caused by our intent or gross negligence.
  7. The App is provided through the App Store, but we, not Apple Inc., are responsible for the App and its content. Apple Inc. has no obligation to provide maintenance or support for the App.

Article 14 (Deleting Your Account and Records)

You may delete your account and Game Records at any time from Settings > Account > Delete account in the App. When you do, all of your data is erased and cannot be restored. Details are set out in the Privacy Policy. Please cancel Premium separately, as described in Article 5, paragraph 4.

Article 15 (Minors)

  1. If you are a minor, please obtain the consent of a parent or other legal guardian before purchasing Premium or one-time products, or otherwise using the App.
  2. If a minor makes a purchase by falsely claiming to have the consent of a legal guardian or by misrepresenting their age or by other deceptive means, the purchase cannot be rescinded (Article 21 of the Civil Code of Japan).

Article 16 (Assignment)

  1. You may not assign or pledge your position, rights or obligations under these Terms to any third party.
  2. If we transfer the App's business to a third party (including by business transfer, company split or other means), we may transfer our position, rights and obligations under these Terms, and your information, to the transferee, and you agree to this in advance.

Article 17 (Notices)

We give notices to you by displaying them in the App or posting them on the page that carries these Terms. Notices are deemed to have reached you when displayed or posted.

Article 18 (Severability)

Even if any provision of these Terms is held invalid or unenforceable under the Consumer Contract Act or other laws, the remaining provisions remain in effect. A provision held partly invalid remains in effect, to the extent permitted by law, with the meaning closest to its original intent.

Article 19 (Governing Law and Jurisdiction)

These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction as the court of first instance over any dispute between you and us concerning the App or these Terms.
